Terms of Service

1. Agreement to these terms
By purchasing, downloading, or using Position Ledgers (the "Software"), you agree to these Terms of Service. If you don't agree, don't purchase or use the Software.
2. What Position Ledgers is
Position Ledgers is a single, self-contained HTML file that runs entirely in your own web browser. You import a thinkorswim account statement CSV export, and the Software computes FIFO-matched realized profit and loss, premium income, open-position cost basis, and related figures from that file. It has no server component for its core function: your statement data is parsed and calculated locally, on your own device, and is never transmitted anywhere by the Software itself. See our Privacy Policy for the few places data does leave your browser (all of them optional, and none of them your brokerage data).
3. License to use the Software
On completing a purchase, you're granted a personal, non-exclusive, non-transferable license to use the copy of the Software you downloaded, for your own use, on your own devices. You may not resell, sublicense, publicly redistribute, or share your copy or your license key with anyone else. The Software is licensed, not sold — you own the specific file you downloaded and are entitled to use it under this license, but Position Ledgers retains all other rights to the underlying code.
If you purchase the separate Pro upgrade, its license key is likewise personal to you and limited to a maximum number of devices/browsers (currently three), enforced through Payhip's license system — see §5.
4. Purchases and payment
Purchases are processed entirely by Payhip, a third-party e-commerce platform. Payhip handles checkout, payment processing, receipts, and delivery of your download link and license key. Position Ledgers never receives or stores your payment card details — that happens on Payhip's systems, under Payhip's own terms and privacy practices.
5. Pro upgrade & license activation
Activating a base or Pro license key sends that key to a small server-side function we operate, which forwards it to Payhip's license-verification API and reports back whether it's valid. That function does not store your key, your statement data, or any other personal information — it exists solely because Payhip's verification API requires a secret credential that can't safely live in a file you download and run locally. 6. Updates
Free updates and fixes to the edition you purchased (currently Schwab/thinkorswim Edition) are made available for re-download from your Payhip library at no additional cost. A future major version, if one ships, may be offered as a separate paid upgrade rather than a free update. Support for additional brokerages, if and when it ships, will be offered as a separate edition/purchase rather than added to your existing license.
7. No financial, tax, or legal advice
Position Ledgers is a calculation and record-keeping tool. It is not a substitute for professional tax, accounting, legal, or investment advice, and nothing it displays — including realized P&L, wash-sale flags, cost-basis figures, or any other computed value — constitutes such advice or a recommendation to buy, sell, or hold any security. Figures are only as accurate as the statement data you import and the assumptions built into the matching logic (FIFO lot-matching, the wash-sale detection heuristics, and so on); they may not match your broker's official tax reporting (e.g. your 1099-B) in every case. Always verify tax-relevant figures against your broker's official records and consult a qualified tax professional before filing.
8. Disclaimer of warranties
The Software is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Software will be error-free, that every statement format or edge case will be parsed correctly, or that computed figures will be free of mistakes.
9. Limitation of liability
To the maximum extent permitted by law, Position Ledgers and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or financial loss, arising from your use of or inability to use the Software, even if advised of the possibility of such damages. Our total liability for any claim relating to the Software will not exceed the amount you paid for your license.
10. Refunds
Refund requests are handled on a case-by-case basis — email support@positionledgers.com with your order details. Refunds, where granted, are issued through Payhip.
11. Third-party services
The Software optionally connects, at your explicit choice and using your own account credentials, to Tradier's market-data API to fetch live price quotes for your open positions. That connection runs directly from your browser to Tradier — Position Ledgers has no server in that path and never sees the data exchanged. Use of Tradier's service is subject to Tradier's own terms. 12. Changes to these terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Software after a change constitutes acceptance of the revised Terms.
